Website User Content Submission Agreement
اتفاقية تقديم المحتوى من مستخدمي الموقع
تسري هذه الاتفاقية ("الاتفاقية") اعتبارًا من تاريخ قيام المستخدم برفع تصاميم أو صور (يُشار إليها مجتمعةً بـ"المحتوى") إلى موقع ECADRA الإلكتروني على https://www.ecadra.com. وهي مُبرمة بين شركة ECADRA ("الشركة")، ومقرها الرئيسي 9235ظ7 هدى شعراوي ,المقطم، مصر، وبين المستخدم ("المستخدم").
1. تقديم المحتوى
أ. يوافق المستخدم على رفع المحتوى إلى موقع الشركة وفقًا لإرشادات التقديم وشروط الخدمة الخاصة بالشركة.
ب. يُقرّ المستخدم ويضمن أنه يملك — أو حصل على — كافة التراخيص والحقوق والموافقات والأذونات اللازمة لاستخدام أي حقوق ملكية فكرية في المحتوى المُقدَّم، ولتفويض الشركة باستخدامها.
2. منح الترخيص
أ. بتقديم المحتوى، يمنح المستخدم الشركة ترخيصًا غير حصري، عالميًا، خاليًا من الإتاوات، قابلًا للترخيص من الباطن والتحويل، لاستخدام المحتوى ونسخه وتوزيعه وإعداد أعمال مشتقة منه وعرضه فيما يتعلق بموقع الشركة وأعمالها (وأعمال خلفائها والشركات التابعة لها)، بما في ذلك — على سبيل المثال لا الحصر — الترويج للموقع وإعادة توزيع جزء منه أو كله (والأعمال المشتقة منه) عبر أي وسائط وقنوات إعلامية.
ب. يوافق المستخدم على أن هذا الترخيص يشمل حق الشركة في إتاحة المحتوى لشركات أو مؤسسات أو أفراد آخرين يتعاونون مع الشركة لأغراض توزيع المحتوى أو بثّه أو نشره عبر وسائط وخدمات أخرى.
3. التزامات المستخدم
أ. يوافق المستخدم على عدم رفع محتوى ينتهك حقوق الملكية الفكرية لأي طرف ثالث، أو يحتوي على مواد غير قانونية، أو يُعدّ غير لائق بأي شكل.
ب. يوافق المستخدم على تعويض الشركة ومسؤوليها ومديريها وموظفيها ووكلائها وحمايتهم من أي مطالبة أو دعوى يرفعها طرف ثالث نتيجةً لأي محتوى يقدّمه المستخدم أو ينشره أو يبثّه أو يتيحه عبر خدمات الشركة.
4. إزالة المحتوى
أ. تحتفظ الشركة بالحق في إزالة أي محتوى في أي وقت، ودون إشعار مسبق، ولأي سبب، بما في ذلك المحتوى الذي ترى الشركة أنه يخالف هذه الاتفاقية أو سياساتها.
5. مشاركة صور العملاء ومكافآت الرصيد (جاليري ECADRA)
أ. عند رفع المستخدمة صورة شخصية عبر صفحة "شاركينا إطلالتك"، تُقرّ بأنها مالكة الصورة، وأن كل من يظهر فيها موافق على النشر، وأن الصورة تُظهر منتجات ECADRA.
ب. تخضع جميع الصور المرفوعة للمراجعة، وللشركة مطلق الحق في قبول أو رفض أي صورة دون إبداء أسباب. لا تُنشر أي صورة قبل موافقة الشركة.
ج. عند قبول الصورة ونشرها في جاليري الموقع، تحصل المستخدمة على رصيد متجر (Store Credit) بالقيمة المُعلنة وقت الرفع، يُضاف تلقائيًا إلى حسابها ويُستخدم في مشترياتها التالية. تُمنح المكافأة للصور المقبولة والمنشورة فقط، وبحد أقصى مُعلن عنه لكل عميلة، ولا يجوز استبدال الرصيد نقدًا أو تحويله للغير.
د. تُعرض الصورة المنشورة منسوبة إلى الاسم الأول للمستخدمة، ويجوز للشركة استخدامها وفقًا للترخيص الوارد في البند (2) من هذه الاتفاقية.
هـ. يجوز للمستخدمة حذف صورتها في أي وقت من لوحة حسابها (تبويب My Photos)، وتُزال من الجاليري. المواد التسويقية المنشورة قبل الحذف قد تستغرق وقتًا لسحبها. الرصيد الممنوح عن صورة منشورة لا يُسترد عند حذفها لاحقًا.
و. تحتفظ الشركة ببيانات الصورة (الصورة، الاسم، البريد الإلكتروني، تاريخ الرفع) طوال فترة عرضها، وتُحذف نهائيًا عند حذف المستخدمة لها.
6. تعديل الاتفاقية
تحتفظ الشركة بالحق في تعديل هذه الاتفاقية في أي وقت، وتسري التعديلات فور نشر النسخة المُعدَّلة على الموقع. وبناءً عليه، يوافق المستخدم على مراجعة الاتفاقية دوريًا، ويُعدّ استمرار وصوله إلى الموقع أو استخدامه له قبولًا منه للاتفاقية المُعدَّلة.
7. القانون الحاكم
تخضع هذه الاتفاقية لقوانين جمهورية مصر العربية، دون اعتبار لأحكام تنازع القوانين.
برفع المحتوى إلى https://www.ecadra.com، يُقرّ المستخدم بأنه قرأ هذه الاتفاقية وفهمها ووافق على الالتزام بشروطها وأحكامها.
Website User Content Submission Agreement
This User Content Submission Agreement (the "Agreement") becomes effective on the date the User uploads designs and images (collectively, the "Content") to the ECADRA website at https://www.ecadra.com. It is made between ECADRA (the "Company"), with its principal place of business at 3 Abou El Fotouh St, Giza, Egypt, and the user (the "User").
1. Content Submission
a. The User agrees to upload Content to the Company's website in accordance with the Company's submission guidelines and terms of service.
b. The User represents and warrants that they own, or have obtained, all licenses, rights, consents, and permissions necessary to use — and to authorize the Company to use — any intellectual property rights in the submitted Content.
2. Grant of License
a. By submitting Content, the User grants the Company a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Company's website and business (and that of its successors and affiliates), including without limitation promoting and redistributing part or all of the website (and derivative works thereof) across any media formats and channels.
b. The User agrees that this license includes the Company's right to make the Content available to other companies, organizations, or individuals who partner with the Company for the syndication, broadcast, distribution, or publication of the Content on other media and services.
3. User Obligations
a. The User agrees not to upload Content that infringes any third party's intellectual property rights, contains illegal material, or is otherwise objectionable.
b. The User agrees to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claim or demand made by a third party arising out of Content the User submits, posts, transmits, or otherwise makes available through the Company's services.
4. Content Removal
a. The Company reserves the right to remove any Content at any time, without prior notice and for any reason, including Content that the Company believes violates this Agreement or its policies.
5. Customer Photo Sharing & Credit Rewards (ECADRA Gallery)
a. By uploading a personal photo through our "Share Your Look" page, the User confirms they own the photo, that everyone appearing in it consents to publication, and that the photo features ECADRA products.
b. All uploaded photos are subject to review. The Company may accept or decline any photo at its sole discretion, and no photo is published before approval.
c. When a photo is approved and published in the website gallery, the User receives Store Credit in the amount stated at the time of upload, added automatically to their account and usable on future purchases. Rewards apply only to approved and published photos, up to a stated per-customer limit, and cannot be exchanged for cash or transferred.
d. Published photos are displayed credited to the User's first name, and the Company may use them under the license granted in Section 2 of this Agreement.
e. The User may delete their photo at any time from their account dashboard (My Photos tab), and it will be removed from the gallery. Marketing materials published before deletion may take time to be withdrawn. Credit granted for a published photo is not revoked upon later deletion.
f. The Company retains photo data (the image, name, email, and upload date) while the photo is displayed, and deletes it permanently when the User removes it.
6. Modification of Agreement
The Company reserves the right to modify this Agreement at any time. Modifications take effect immediately upon being posted on the website. The User agrees to review the Agreement periodically, and continued access to or use of the website constitutes acceptance of the modified Agreement.
7. Governing Law
This Agreement is governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-law provisions.
By uploading Content to https://www.ecadra.com, the User acknowledges having read, understood, and agreed to be bound by the terms and conditions of this Agreement.
